Terms of Use

Welcome to our website. This Site, as defined herein, is maintained as a service to our customers. This Terms of Use agreement (the “Agreement”) governs your access to and use of the website located at https://www.aaahc.org/ (the “Site”) operated by the Accreditation Association for Ambulatory Health Care, Inc. (the “AAAHC,” “us,” “our,” or “we”). By using this Site, you agree to comply with and be bound by the following terms and conditions of use. You also agree that you are responsible for your use of our Site and any resulting consequences. Please review these terms and conditions carefully. If you do not agree to these terms and conditions, you should not use this site.

  1. Agreement. This Agreement specifies the Terms of Use for access to and use of the Site and describes the terms and conditions applicable to your access of and use of the Site. This Agreement may be modified at any time by the AAAHC upon posting of the modified Agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at any time on this page. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.
  2. Privacy. Your visit to our site is also governed by our Privacy Policy. Please review our Privacy Policy here.
  3. Ownership. This Site andall content included on this Site is and shall continue to be the property of AAAHC or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.
  4. Representations & Warranties. AAAHC grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the Site, reverse engineer or break into the Site, or use materials, products or services in violation of any law. The use of this website is at the discretion of AAAHC and AAAHC may terminate your use of the Site at any time. By using our Site, you represent, warrant, and agree:
    • You are at least 18 years of age, or if you are under the age of 18, you are using the Site with permission from and under the supervision of a parent or legal guardian;
    • You agree to comply with all applicable laws regarding your use of the Site;
    • You agree that information provided by you is truthful and accurate to the best of your knowledge.
  5. Prohibited Uses. You agree not to use our Site:
    • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States or other countries);
    • For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personal information, or otherwise;
    • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; or
    • To impersonate or attempt to impersonate AAAHC, an AAAHC employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).

    Additionally, you agree not to:

    • Use our Site in any manner that could disable, overburden, damage, or impair this Site or interfere with any other party’s use of our Site, including their ability to engage in real time activities through this Site;
    • Use any device, software, or routine that interferes with the proper working of our Site;
    • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
    • Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of this Site, or any server, computer, or database connected to this Site or attack our Site in any way; or
    • Otherwise attempt to interfere with the proper working of our Site.
  6. Indemnification. You agree to indemnify, defend, and hold harmless AAAHC and its partners, employees, officers, directors, agents, and affiliates from and against any liabilities, losses, claims, and expenses, including reasonable attorney’s fees, related to or arising out of your violation of this Agreement, your use of the Site, or your violation of any laws or rights of a third party.
  7. Disclaimer. THE INFORMATION ON THIS SITE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. AAAHC DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE SHALL BE TO DISCONTINUE USING THE SITE. AAAHC IS NOT A HEALTHCARE PROVIDER. NO MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED WITH AAAHC THROUGH USE OF OUR SITE.
  8. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL AAAHC BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

    You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you. AAAHC’s total aggregate liability for all claims arising out of or relating to this Agreement or your use of our Site shall not exceed one hundred U.S. dollars (US $100) or such lesser amounts as permitted by law.

  9. Intellectual Property Rights. The Site and all content contained in the Site is the exclusive property of AAAHC, and protected by copyright, trademark, and other Intellectual Property law, and except where otherwise noted, and except for personal, non-commercial use, may not be copied, distributed, reproduced, republished, posted, modified in any way, displayed, or transmitted in any form or by any means, without prior written permission of AAAHC. By visiting our Site, you do not acquire or obtain by implication or otherwise, any license or right to use or make additional copies of any materials or information displayed by the Site. Any unauthorized use of the Site or content contained in the Site, including trademarks, service marks, or trade dress found within the Site, may violate civil or criminal laws, including, but not limited to, copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
  10. Use of Information. AAAHC reserves the right, and you authorize AAAHC, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy, which can be accessed here.
  11. Applicable Law. You agree that the laws of the State of Illinois, without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and AAAHC or its affiliates. You agree that any legal action or proceeding arising out of this Agreement will be brought exclusively in the Northern District of Illinois or state courts located in Lake County, Illinois, and you consent to personal jurisdiction and venue therein.
  12. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
  13. Waiver. The failure of AAAHC to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by AAAHC must be in writing and signed by an authorized representative of AAAHC.
  14. Claim Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of the use of our Site or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
  15. Termination of Access. AAAHC may suspend or disable your access to the Site or terminate this Agreement at any time, with or without notice, for any reason. AAAHC reserves the right to revoke your access to and use of our Site at any time, with or without cause.
  16. Availability of the Site. AAAHC may withdraw or amend our Site at our sole discretion without notice. AAAHC will not be liable if, for any reason, all or part of the Site is unavailable, at any time or for any period.
  17. Relationship of the Parties. Nothing contained in this Agreement nor your use of the Site shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.
  18. Artificial Intelligence. AAAHC employs an Artificial Intelligence (“AI”) Agent on the Site to assist in user support, answering questions, locating content, and collecting information. AAAHC’s AI Agent, “Bernie” (“AI Agent”) is operated by BettyBot, LLC. BettyBot, LLC provides this AI Agent pursuant to a Master Agreement, which can be viewed at https://bluecypress.io/masteragreement20240304. The provisions and requirements in this Master Agreement that are applicable to end users are applicable to you and are fully incorporated herein.
    1. License to Use AAAHC’s AI Agent. Subject to your compliance with this Agreement, AAAHC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the AI Agent solely in accordance with this Agreement, for customer support purposes when using the Site. You acknowledge and agree that the AI Agent is provided under license, and not sold, to you. You do not acquire any ownership interest in the AI Agent under this Agreement, or any other rights thereto.
    2. Representations & Warranties Regarding use of the AI Agent. You represent, warrant, and agree that you are solely responsible for the accuracy, legality, and appropriateness of your use of the AI Agent, including all communications entered into the AI Agent and that you will only use our AI Agent for lawful purposes.
    3. Intellectual Property Rights in the AI Agent. You do not obtain ownership rights in the AI Agent, any software supporting such AI Agent, or any work product produced by the AI Agent. All rights to the AI Agent, supporting software, and/or work product, including but not limited to any accompanying technical documentation, confidential information, trade secrets, trademarks, service marks, patents, copyrights, and other proprietary information, are, shall be, and will remain the sole property of BettyBot, LLC or AAAHC.
    4. AI Input. You are responsible for all content and personal information you upload to the AI Agent including ensuring that it does not violate any applicable laws or this Agreement. You represent, warrant, and agree that you have all necessary rights and permissions to provide the input into the AI Agent.
    5. Input License to BettyBot, LLC. By entering input into the AI Agent, you grant to BettyBot, LLC and AAAHC a perpetual, irrevocable, worldwide, royalty-free, sublicensable, non-exclusive license to create, process, reproduce, store, display, modify, translate, create derivative works from, make available and otherwise use Aggregated Data, as defined by BettyBot, LLC in the Master Agreement, in connection with developing, providing, maintaining, supporting, or improving BettyBot, LLC’s current and future products and services, as they may be provided to AAAHC or other customers of BettyBot, LLC, or for any other lawful purpose.
    6. AI Agent Output. AAAHC owns all AI Agent output.  Subject to this Agreement and the Master Agreement between AAAHC and BettyBot, we grant you an exclusive, non-transferrable, right and limited license to access and use the output created from the AI Agent solely for purposes related to AAAHC and your use of the Site. You acknowledge and agree that the output is provided under license, and not sold, to you. You do not acquire any ownership interest in the output under this Agreement, or any other rights thereto.
    7. Disclaimer of Warranties Related to the AI Agent. YOUR USE OF OUR SITE AND YOUR INTERACTIONS WITH US IS AT YOUR SOLE RISK. THE AI AGENT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AAAHC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. AAAHC MAKES NO WARRANTY THAT: (I) OUR AI AGENT OR OTHER INTERACTIONS WILL MEET YOUR REQUIREMENTS, (II) OUR AI AGENT WILL BE UNINTERRUPTED, TIMELY, SECURELY, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR AI AGENT WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OUR AI AGENT OR ANY OUTPUT GENERATED FROM THE SAME WILL MEET YOUR EXPECTATIONS.
    8. Limitation of AI Agent-Related Damages. NOTWITHSTANDING ANYTHING TO THE CONTRARY, EXCEPT FOR BODILY INJURY OF A PERSON, AAAHC, BETTYBOT, LLC AND ITS SUPPLIERS (INCLUDING BUT NOT LIMITED TO ALL EQUIPMENT AND TECHNOLOGY SUPPLIERS), OFFICERS, OWNERS, SHAREHOLDERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR THE MASTER AGREEMENT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY: (A) FOR ERROR OR INTERRUPTION OF USE OR FOR LOSS OR INACCURACY OR CORRUPTION OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY OR LOSS OF BUSINESS; (B) FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; (C) FOR ANY MATTER BEYOND BETTYBOT, LLC’S REASONABLE CONTROL; OR (D) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY AAAHC TO BETTYBOT, LLC FOR OPERATION AND USE OF THE AI AGENT IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT BETTYBOT, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  19. Entire Agreement. This Agreement constitutes the entire agreement between you and AAAHC and governs the terms and conditions of your use of the Site, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and AAAHC with respect to this Site. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website.
